Benjaporn's main practices are capital markets and banking and finance, with the extensive experiences advising on Property Fund for Public Offering (PFPO) as well as Real Estate Investment Trusts (REITs) for various notable transactions in wide ranges of industries.
She involves in representing clients in the establishment of Property Fund (Real Estate Investment Trust equivalent) with respect to the investment in various real estate categories, including hotels, residential buildings and office buildings. Not only that, she also has advised a large number of both domestic and international companies in connection with compliance with securities law matters, including preparation of annual reports filed with the SEC and legal opinions on connected transactions of public companies listed on Thailand’s Stock Exchange. Benjaporn has advised several issuers relating to IPOs and capital raising through debts and equities, including Bangkok Airways Public Company Limited in the THB13 Billion initial public offering (IPO) to domestic and international investors under regulations and listing of shares on the Stock Exchange of Thailand.
Not only that, she has also advised on several REIT transactions, including conversion of three property funds (TFUND, TLOGIS, TGROWTH) into Frasers Property Thailand Industrial Freehold and Leasehold Real Estate Investment Trust, formally (TICON Freehold and Leasehold Real Estate Investment Trust (TREIT)), which after the conversion, TREIT has a total asset of THB 36,000 Million.
In the field of banking and finance, she has been assigned to serve as a member of team representing a sizeable power plant in joint venture project between Thailand and other AEC countries, conducted comparative legal research on corporate and investment laws, reviewed and prepared the shareholders' agreement to obtain the investment license. In addition, she also represents Thai commercial banks in connection with sales and purchases of non-performing loans and the establishment and operation of Asset Management Companies (AMC).
